It provides recruiters with a centralized location to store and manage all of their candidate information, making it easy to access and update information as needed. This allows recruiters to have all of the relevant information at their fingertips, which can help them make informed decisions and move the recruitment process forward quickly.

Use of Service3.1 The Service is provided to you for lawful purposes only. You agree to use the Service only for purposes that are permitted by these Terms and any applicable laws, regulations, or guidelines.
You agree not to use the Service to:
Violate any applicable federal, state, local, or international law or regulation.
Exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
Transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation. Impersonate or attempt to impersonate HireGate, a HireGate employee, another user, or any other person or entity. Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by HireGate, may harm HireGate or users of the Service or expose them to liability.
Engage in any activity that disrupts or interferes with the normal operation of the Service.
By using the Service, you agree to comply with these restrictions and will not use the Service in any way that is prohibited by these terms and conditions.

3.3 By using the Service, you represent and warrant that you have legal rights to the candidate information you provide and that it does not infringe on the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to comply with all applicable laws and regulations related to data protection, including obtaining all necessary consents and disclosures from candidates regarding the collection, use, and storage of their personal information. HireGate is compliant with all relevant data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) and will take all necessary measures to protect candidate data, including implementing appropriate security measures and regularly monitoring compliance with data protection laws. In the event that HireGate becomes aware of any violation of data protection laws or regulations by a user of the Service, HireGate reserves the right to terminate or limit access to the Service. It is the user's responsibility to ensure that they follow all relevant data protection laws and regulations when using the Service.
Limitation of Liability6.1 In no event will HireGate, its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, good-will, or other intangible losses, resulting from (i) your access to or use of the Service, (ii) any errors or inaccuracies in the information provided by the Service, (iii) any unauthorized access or use of our servers and/or any personal information stored therein, (iv) any interruption or cessation of transmission to or from the Service, (v) any bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Service by any third party, and/or (vi) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Service.

7.2 If you wish to terminate your contract with HireGate, you are required to provide written notice to HireGate at least 60 days prior to the end of your contract term. Failure to provide this notice will result in your contract automatically renewing for another year. This is to ensure that HireGate has enough time to make any necessary arrangements and to ensure a smooth transition for both parties.
7.3 HireGate reserves the right to modify or discontinue the Service at any time, with or without notice to you. This means that HireGate may make changes to the Service, such as adding new features or removing existing ones, at any time. This also means that HireGate may discontinue the Service altogether, with or without notice to you. This is to ensure that HireGate is able to continuously improve the Service and provide the best possible experience for users.
Governing Law9.1 These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. This means that any disputes arising from or related to these Terms, or the Service will be resolved according to the laws of the United States, and not the laws of any other country or jurisdiction. Additionally, any legal action or proceeding arising out of or related to these Terms or the Service must be brought in a federal or state court located in the United States, and you consent to the exclusive jurisdiction and venue of such courts. This choice of law and forum provision is intended to be self-executing and will be enforced by the courts, regardless of whether a party raises the defense of lack of personal jurisdiction, improper venue, or forum non conveniens.

The arbitration shall be conducted in the United States. The arbitration will be conducted by a single arbitrator appointed in accordance with the JAMS rules. The arbitration will be held in a location that is mutually agreed upon by the parties. The parties will share the costs of the arbitration equally. The arbitration proceedings will be conducted in accordance with the JAMS Comprehensive Arbitration Rules and Procedures in effect at the time of the arbitration. The arbitration proceedings will be conducted in English. The arbitration award will be final and binding on the parties.
